Himalaya Shipping Ltd. (HSHIP) – Time charters for four vessels

Himalaya Shipping is pleased to announce it has entered into time charter agreements for four vessels with Koch Shipping Pte Ltd.

The vessels will commence a 24 month time charter with an evergreen structure upon delivery from New Times Shipyard in the second and third quarter of 2023, with certain options to roll two charters to 2024. The vessels will earn an index linked rate, reflecting a significant premium to the Baltic 5TC index, and a profit sharing of any economic benefit derived from operating the vessel´s scrubber or running on LNG, as well as certain rights to convert the time charters to fixed rates based on the prevailing FFA curve from time to time.

The reception for the vessels in the market has been above expectations. Himalaya Shipping Ltd. (HSHIP) – Installation of Exhaust Gas Cleaning System

Himalaya Shipping Ltd. (the “Company”) is pleased to announce that it has decided to install scrubbers (EGCS) on the entire fleet of twelve vessels presently under construction at New Times Shipyard (“NTS”) in China. The installation will be done within the previously agreed delivery schedule from the shipyard at attractive prices and payment terms.

After installation of scrubbers, the ships will have the ability to be fuelled with LNG, LSFO or HSFO. This offers significant increased flexibility for our customers and will be valuable in the ongoing employment discussions. Based on current spot pricing of LSFO versus HFO in Singapore the scrubber investment is estimated to give a total benefit of US$7,500/day when sailing, and based on our expected share of scrubber benefit the investment is expected to be paid back in less than 1.5 years.

Himalaya Shipping Ltd. (the “Company”) advises that the 2022 Annual General Meeting of the Company was held on August 10, 2022, at 08:30 ADT at 2nd Floor, The S.E. Pearman Building, 9 Par-la-Ville Road, Hamilton HM 11, Bermuda.  The audited consolidated financial statements for the Company for the year ended December 31, 2021 were presented to the Meeting.

The following resolutions were passed:

1)      To re-elect Bjorn Isaksen as a Director of the Company.

2)      To re-elect Carl E. Steen as a Director of the Company.

3)      To re-elect Georgina E. Sousa as a Director of the Company.

4)      To re-elect Mi Hong Yoon as a Director of the Company.

5)      To amend the Company’s Bye-laws by the deletion of Bye-Law 43 in order to conform with Norwegian Securities and Euronext’s regulations.

6)      To re-appoint PricewaterhouseCoopers AS as auditors and to authorize the Directors to determine their remuneration.

Himalaya is pleased to announce it has signed definitive documentation for the sale leaseback financing on ship 5-12. The Company have now secured sale leaseback financing for its complete newbuilding program of 12 dual fuel Newcastlemax vessels with delivery between Q2 2023 and Q4 2024.

The financing covers the remaining instalments to the shipyard and secures attractive financing for 7 years from delivery.

The sale leaseback financing offers both pre and post delivery financing. The Company has customary purchase options at certain dates in the future.

Himalaya Shipping Ltd. (HSHIP) – Grant of share options

Hamilton, Bermuda, March 11, 2022

In September 2021, the Board established a long-term incentive plan for the Group’s directors and other key human resources (the “LTI Plan”) and has approved a set of general rules for the LTI Plan. Furthermore, the Board has allocated 800,000 of the Company’s authorised but unissued share capital as settlement of the exercised options granted under the LTI Plan.

The Board has resolved to grant 120,000 share options to key human resources under the Company’s LTI Plan. Each share option gives the holder the right to purchase one share in the Company at an exercise price of USD 8.00. The share options will vest over a period of three years and expire 5 years after the grant date.

Following the grant, the total number of outstanding share options is 620,000.
